Startup Finances from MVP to Series A: How Accounting Changes at Each Stage
Accounting that was enough at the MVP stage can hold you back before a seed round and become a bottleneck when you scale. See how a startup's financial needs change from stage to stage: from validating an idea as a sole proprietorship, through your first business angel and Stripe billing, to a virtual CFO and ESOP at Series A.

Your product quickly evolves from a test MVP phase into a full-fledged SaaS solution, and the team grows from two founders to dozens of people on board. Your finances change along with the company: different things matter when you receive your first AWS invoice, before a seed round, and once you serve customers in dozens of countries.
Just as your business changes, your operational processes must evolve. A financial model that worked during the bootstrapping stage can become a bottleneck during the first investment round, delaying the investment by months, or in extreme cases, completely scaring off a VC fund.
Instead of changing your accounting firm with every milestone, it is worth choosing a partner right away who understands this lifecycle and will act as a growth lever rather than an operational bottleneck. Below, we show what to put in place in your finances at each stage, and when.
A startup is not a traditional service business - its needs change with every round. Here is a quick overview of how the role of accounting evolves as you grow:
| Area | MVP & Bootstrapping Phase | Traction Phase (Seed) | Scaling Phase (Series A+) |
|---|---|---|---|
| Main goal | Cost minimization, agility, hypothesis testing. | Building VC trust, implementing tax reliefs. | Hard analytics, budget control, margin optimization. |
| Accounting priority | Digital document flow (KSeF), zero paperwork. | Cap Table cleanliness, proper booking of convertible loans (CLA). | Automating the booking of thousands of transactions from payment gateways (API). |
| Main challenge | Lack of cash, choosing the right legal form to start. | Preparing flawless books for Due Diligence. | Global settlements (WHT, VAT OSS) and complex payroll (ESOP). |
| Expected support | Answering the question: Sole proprietorship (JDG) or LLC right away? | Implementing tax reliefs: IP Box, R&D, 50% KUP. | Access to management reports and virtual CFO support. |
For accounting to extend your runway and help keep your burn rate in check, its model must evolve along with the subsequent phases of your business development.
At this stage, every penny counts. You don't have large revenues yet, and your only costs are server fees (AWS) or no-code tools.
You are gaining traction, and the first Business Angel appears. It's time to get your paperwork in order.
You have hundreds of customers a month from all over the world. Manual processes are starting to paralyze the company.
Big money is circulating in the company, and you are preparing for the next round.
Here are brief answers to the most common doubts concerning the financial setup at the early stages of a startup's development:
Do I have to set up an LLC (Sp. z o.o.) right away during the MVP testing stage?
Not necessarily. Full accounting (maintaining commercial books) is required for capital companies (LLC/Sp. z o.o., Simple Joint-Stock Company/P.S.A.), and these are the standard for VC funds. However, in the very early phase of idea validation, many founders operate as a sole proprietorship (JDG) with simplified accounting to minimize costs. A good accounting partner will help you convert at the right time.
Will full accounting in an LLC ruin my budget from day one?
Many founders fear bills in the range of 1500-2000 PLN at the start, which is why they artificially delay setting up a company. At Besides Finance, we prove that it can be done smartly and in a bootstrapping-friendly model.
When is the right time to change your accounting firm to one specializing in IT?
It is worth planning the change right before raising your first external capital or when launching your product in foreign markets. Entering a Due Diligence audit with messy documents from an unqualified accounting firm is the most common mistake founders make, which deters VC funds. If you are planning such a change and want to know how to vet a new partner, check out our guide - Accounting for startups: How to choose and what to watch out for so you can focus on scaling?
Every stage of a startup's growth gives your finances a different job. At the start, low cost and a digital document flow matter most; before a round, books ready for due diligence; when scaling, automation and analytics. That is why, instead of changing your accounting firm at every milestone, it is worth choosing a partner who knows the whole cycle from the start.
At Besides Finance, we support startups from their very first AWS invoice, through automating Stripe payments, all the way to CFO support during subsequent funding rounds. We start the entire process with an audit of your needs and mapping out your current stage. Based on this, we prepare a clear action plan and take on the heavy lifting of technical system integration. See how our accounting for startups and IT companies works.
